Welcome to Hiir.me (the "Platform" or "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Platform, including any content, functionality, and services offered on or through the Platform (collectively, the "Services"). The Platform is an online employment networking and job search service designed to facilitate professional connections, profile creation, job searching, and related activities, akin to a scaled-down professional networking site.

By accessing, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. These Terms form a binding legal agreement between you ("User," "you," or "your") and Hiir.me.

We reserve the right to modify these Terms at any time. Any changes will be posted on the Platform, and continued use of the Services after such posting constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Article 1: Acceptance of Terms and Eligibility

1.1 Agreement to Terms

You represent and warrant that you are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, and possess the legal capacity to enter into these Terms. By using the Services, you affirm that you meet these eligibility requirements and agree to comply with all applicable laws, rules, and regulations.

1.2 Electronic Communications

By providing your email address or phone number to us, you consent to receive communications from us electronically, including notices regarding these Terms, updates to the Services, or promotional materials. You agree that all agreements, disclosures, and notices provided electronically satisfy any legal requirement that such communications be in writing.

Article 2: Description of Services

2.1 Overview of Services

The Services provide an online platform where Users may create professional profiles (including customizable resume components that can be mixed and matched), search for job opportunities, network with other professionals, upload resumes, and engage in related employment activities. Profiles may be designated as public or private at the User's discretion, and Users may view notifications when others review their profiles.

2.2 Subscription-Based Access

Certain features of the Services are available only to paid subscribers ("Subscribers") under a subscription model. Free Users may access limited functionalities, while Subscribers gain enhanced access, such as advanced networking tools or priority job listings, depending on the selected tier.

2.3 Third-Party Integrations

The Services integrate with third-party providers, including Stripe, Inc. ("Stripe") for payment processing. Your use of such integrations is subject to their respective terms and policies, and we disclaim all liability arising therefrom.

Article 3: User Accounts and Profiles

3.1 Account Registration

To access certain Services, you must create an account by providing accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use.

3.2 Profile Content

Users may create and customize profiles using modular resume components. All profile information must be truthful, accurate, and not misleading. Public profiles are visible to other Users and third parties, while private profiles are restricted to the account holder and authorized viewers.

3.3 Profile Visibility and Notifications

You may elect to make your profile public, thereby granting other Users permission to view and interact with it. We may provide notifications indicating when your profile is reviewed by others, subject to your privacy settings. You acknowledge that such visibility may impact your professional reputation.

Article 4: Subscription and Payments

4.1 Subscription Tiers

The Services offer subscription tiers at Hiir.me's discretion, currently including a basic tier at $5.00 per month and a premium tier at $49.00 per month, billed monthly based on User type and features selected. Pricing is exclusive of applicable taxes, which you agree to pay.

4.2 Billing and Payment

Subscriptions are auto-renewed on a monthly basis unless canceled. Payments are processed via Stripe, and you authorize us and Stripe to charge your designated payment method. All fees are non-refundable except as expressly provided herein.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle, and no prorated refunds will be issued. Upon cancellation, access to premium features will terminate immediately.

Article 5: User Content

5.1 Ownership and License

"User Content" includes any text, images, resumes, profiles, or other materials you upload, submit, or transmit via the Services. You retain ownership of your User Content but grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to host, store, reproduce, modify, create derivative works, and distribute such content solely for operating and promoting the Services.

5.2 User Representations

You represent and warrant that your User Content does not infringe any third-party rights, including intellectual property or privacy rights, and complies with these Terms and applicable law. You consent to the use of your likeness, voice, or other personal attributes in User Content as submitted.

5.3 Content Moderation

We reserve the right, but not the obligation, to monitor, edit, or remove User Content that violates these Terms or poses a risk to the Services. We are not liable for any User Content, including its accuracy or legality.

Article 6: Intellectual Property Rights

6.1 Platform Ownership

The Services, including all text, graphics, logos, software, and underlying technology, are owned by Hiir.me or its licensors and protected by United States and international copyright, trademark, and other intellectual property laws. No license is granted except as expressly provided herein.

6.2 Trademarks

Hiir.me trademarks, service marks, and logos are proprietary and may not be used without prior written consent. Any unauthorized use constitutes infringement.

6.3 Feedback

Any suggestions, feedback, or ideas you provide regarding the Services ("Feedback") become our property without compensation, and you grant us a perpetual license to use such Feedback for any purpose.

Article 7: Prohibited Conduct

7.1 Restrictions

You agree not to:

  • use the Services for any unlawful purpose
  • impersonate any person or entity
  • harass, defame, or harm others
  • upload viruses or malicious code
  • scrape, copy, or reverse-engineer the Services
  • interfere with the Services' operation

7.2 Employment-Specific Prohibitions

Users shall not post fraudulent job listings, discriminate in networking activities, or solicit personal information in violation of privacy laws. Employers using the Services must comply with all applicable labor and anti-discrimination statutes.

7.3 Consequences of Violation

Violation of this Article may result in immediate suspension or termination of your account, without notice or liability to us.

Article 8: Termination

8.1 By User

You may terminate your account at any time by contacting support@hiir.me. Upon termination, your obligations under these Terms survive as specified.

8.2 By Hiir.me

We may terminate or suspend your access to the Services at our sole discretion, with or without cause, and without liability. Grounds include, but are not limited to, breach of these Terms or legal requirements.

8.3 Effect of Termination

Upon termination, all licenses granted herein cease, and you must cease using the Services. Outstanding fees remain due.

Article 9: Disclaimers

9.1 As-Is Basis

The Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Guarantee of Employment

We do not guarantee job placements, networking success, or the accuracy of User Content. Your use of the Services is at your own risk.

9.3 Third-Party Content

We disclaim liability for third-party content, links, or integrations accessed via the Services.

Article 10: Limitation of Liability

10.1 Cap on Damages

To the fullest extent permitted by law, Hiir.me's aggregate liability arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10.2 Exclusion of Consequential Damages

In no event shall we be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, even if advised of their possibility.

10.3 Force Majeure

We shall not be liable for delays or failures due to causes beyond our reasonable control, including acts of God, strikes, or internet outages.

Article 11: Indemnification

You agree to indemnify, defend, and hold harmless Hiir.me, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your User Content, or your violation of any third-party rights.

Article 12: Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of laws principles.

12.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved exclusively through binding arbitration under the rules of the American Arbitration Association. You waive any right to participate in a class action.

12.3 Jurisdiction

For non-arbitrable matters, you submit to the exclusive jurisdiction of the state and federal courts located in the United States.

Article 13: Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hiir.me regarding the Services and supersede all prior agreements.

13.2 Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

13.3 Waiver

No waiver of any breach shall constitute a waiver of any subsequent breach.

13.4 Assignment

We may assign these Terms without consent; you may not assign without our prior written approval.
